1. Scope

These terms govern all B2B sales conducted via NordicMAX.com, operated by JTI. By creating an account or placing an order, the buyer confirms it is a registered business entity and that the representative has legal authority to bind the entity to these terms. Any conflicting terms in buyer documentation are excluded unless explicitly accepted in writing by JTI.

2. Orders & Contracts

Orders placed via NordicMAX.com are binding upon confirmation by JTI. JTI reserves the right to accept, reject, or cancel any order without liability for compensation. A valid business account is required to complete purchases.

3. Prices & Payment

All prices are exclusive of VAT, shipping, duties, and any applicable taxes unless otherwise agreed in writing.

Payment Terms:

  • Unless otherwise agreed, all invoices must be paid in advance before goods are dispatched.

  • Approved customers may be granted 14-day payment terms after credit evaluation.

  • Late payments will incur applicable interest, reminder fees, and legal collection costs.

  • JTI may suspend future orders if the buyer has unpaid invoices or poor payment history.

4. Delivery & Risk Transfer

Estimated delivery time is 1–4 weeks, depending on stock status and destination. Delivery times are indicative and non-binding.

Goods are delivered DAP (Delivered At Place) unless otherwise agreed. Risk and title pass to the buyer when goods are handed over to the shipping carrier.

JTI accepts no liability for delays caused by customs, transport providers, force majeure, or incorrect delivery information.

5. Inspection & Claims

The buyer must inspect all goods immediately upon delivery. Any claims for damage, shortage, or incorrect items must be submitted in writing to info@nordicmax.com within five (5) calendar days, including:

  • Order number

  • Detailed description of issue

  • Photo documentation

Failure to report within the 5-day period constitutes full acceptance. Claims made after this deadline are considered invalid.

6. Returns & Cancellations

Returns are not accepted unless authorized by JTI in writing.

  • No return right applies for overstock, incorrect purchases, or resale difficulties.

  • Approved returns may be subject to a restocking fee up to 25%.

  • Return shipping is the buyer’s responsibility unless otherwise agreed.

  • Orders cannot be canceled after confirmation unless JTI agrees in writing.

7. Limitation of Liability

To the fullest extent permitted by law, JTI’s total liability shall not exceed the net invoice value of the defective goods.

JTI shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to:

  • Lost profits or business

  • Reputational harm

  • Third-party claims

  • Product misuse or resale issues

  • Regulatory or legal compliance in the buyer’s market

No liability arises unless the buyer has fully complied with all contractual obligations, including timely payment.

The buyer is solely responsible for determining the suitability, compliance, resale, and marketing of all goods purchased.

8. Indemnification

The buyer shall indemnify and hold harmless JTI, its officers, employees, and affiliates from any third-party claims, losses, damages, or costs (including legal fees) arising out of:

  • Breach of these terms

  • Improper handling, use, or marketing of goods

  • Failure to comply with laws in the buyer’s country

  • Customer or end-user claims related to resale or integration

This clause survives contract completion or termination.

9. Force Majeure

JTI shall not be held liable for any delay or failure due to events beyond its reasonable control, including but not limited to: strikes, transport failures, customs delays, pandemics, governmental restrictions, or natural disasters. In such cases, JTI may suspend or cancel affected orders without liability.

10. Intellectual Property

All content, images, data, and materials provided via NordicMAX.com remain the exclusive property of JTI or its licensors. Unauthorized use, duplication, or modification is strictly prohibited.

11. Governing Law & Jurisdiction

These terms are governed by Swedish law. Disputes shall be exclusively resolved by Helsingborg District Court (Helsingborgs tingsrätt).
The UN Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

12. Limitation Period for Claims

No legal claims, whether in contract or tort, may be brought more than twelve (12) months after the underlying cause of action arose.

13. Exclusion of Reliance

The buyer confirms it has not relied on any statement, promise, or representation not expressly set forth in these terms or in a written agreement signed by JTI.

14. Miscellaneous

  • JTI reserves the right to update these terms at any time. The latest version will always be available on NordicMAX.com and is binding upon publication.

  • If any clause is deemed unenforceable, the remaining terms remain in full force.

  • The buyer may not assign or transfer rights or obligations without prior written consent from JTI.
